2. Subject matter of the contract
Riddle provides the Customer with a technical platform for conducting a football prediction game for the duration of a defined event.

The subject matter of the contract is exclusively the provision of the technical infrastructure and the contractually agreed services (Self-Service or Full-Service) as per the offer/order confirmation.
3. Conclusion of contract
The contract is concluded by:
- Acceptance of an offer from Riddle by the Customer in text form (email is sufficient), or
- Order by the Customer and subsequent order confirmation by Riddle in text form.
The respective order confirmation is decisive for the scope of services and price.
4. Term of use

After expiry of the term of use, Riddle is entitled to deactivate access and terminate publication of the Prediction Game.
5. Provision, hosting and subdomain
The Prediction Game is operated on servers of Riddle Technologies AG in Germany.
The Customer may use the Prediction Game in the following ways:
- Operation on a subdomain following the pattern: name.tippspiel.fans
- Embedding (e.g. iFrame) on the Customer's own domain
If Riddle provides the Customer with a subdomain, it is made available exclusively for the duration of the competition and remains in all cases the property of and under the control of Riddle.
There is no entitlement to transfer or continuation of the subdomain.
6. Self-Service and Full-Service
Riddle offers two basic service models:
- Self-Service: The Customer configures and operates the Prediction Game independently in the provided system.
- Full-Service: Riddle assumes the service tasks expressly listed in the offer or order confirmation.
The specific scope of services is determined exclusively by the offer or order confirmation.
Not included (including in Full-Service) are in particular:
- Dispatch, procurement or fulfillment of prizes for winners
- Legal advice
- Binding review or creation of legally compliant terms of participation, privacy policies or other legal texts
Riddle may provide the Customer with non-binding sample texts (e.g. sample terms of participation). These are expressly not legal advice. The Customer is obligated to have these texts reviewed and approved by a lawyer.
7. Support
Riddle offers support via email.
Support hours are on business days (Monday to Friday) from 09:00 to 17:00 (CET/CEST), excluding public holidays at Riddle's registered office (Saarbrücken, Germany).
There are no guaranteed response times.
8. Customer obligations
The Customer is responsible for:
- the lawful conduct of the Prediction Game as organizer
- the provision of all legally required texts (imprint, privacy policy, terms of participation)
- compliance with all legal requirements (in particular competition law, data protection law, youth protection, trademark law)
- the procurement, provision and dispatch of prizes (if prizes are offered)
- the content design (logos, texts, images, advertising materials) and the rights thereto
The Customer ensures that all content provided is free from third-party rights and does not violate any legal provisions.
9. Role of Riddle and role of the Customer (competition / organizer)

Riddle is exclusively a technical service provider and makes the platform available.
Riddle assumes no responsibility for:
- the legal structure of the Prediction Game or prize competition
- the selection or payment/handover of prizes
- communication with winners, unless this has been expressly booked as a service
10. Usage rights, content and reference
All content provided by the Customer (e.g. logos, graphics, texts) remains 100% the property of the Customer.
The Customer grants Riddle for the duration of the contract a simple, non-exclusive, non-transferable right to technically process and display the content for the purpose of contract fulfillment.
The Customer also grants Riddle the right to name the Customer as a reference, including the use of the Customer's logo, on:
- the Riddle website
- presentations
- sales and marketing materials
The Customer may object to this reference at any time in text form (email is sufficient). Upon receipt of the objection, Riddle will cease the reference within a reasonable period and refrain from future use.
11. Data, analytics and ownership
All data collected through the Prediction Game, participant data as well as analyses and evaluations belong exclusively to the Customer.
Riddle processes personal data of participants exclusively within the scope of the technical provision of the Prediction Game.
Riddle stores personal data in encrypted form in a server area assigned to the respective Customer.
12. Data export and deletion
After expiry of the term of use, personal data of participants will be deleted no later than 14 days after the end of the term of use.
Upon request, Riddle will provide the Customer with a data export before deletion.
The export is generally provided as an Excel file.
13. Data processing agreement (DPA)
If Riddle gains access to or must view personal participant data in the course of Full-Service activities, the conclusion of a Data Processing Agreement (DPA) is required.
The Customer is obligated to sign the DPA provided by Riddle before the start of corresponding Full-Service activities.
14. Optional dedicated server operation
Upon request and for an additional fee, the Customer may receive a dedicated, exclusive server for operating the Prediction Game.
The provision of a dedicated server requires lead time. Payment for a dedicated server must be received at least 2 months before commissioning.
15. Availability (SLA)
Riddle guarantees platform availability of 99.5% on an annual average, based on the duration of the term of use.
The following are not considered downtime:
- planned maintenance windows
- outages due to force majeure
- outages due to disruptions outside Riddle's sphere of influence (e.g. internet backbone, DNS, Customer's third-party systems)
16. Prices, payment terms and setup requirements
Prices are determined by the offer or order confirmation.
All prices are net plus applicable statutory value-added tax.
Payment is due in advance.
Riddle will only set up the Prediction Game once payment has been received in full.
In case of non-payment, the Prediction Game will not be set up. There is no entitlement to setup before payment.
17. Liability
Riddle is liable without limitation in cases of intent and gross negligence.
In cases of slight negligence, Riddle is only liable for the breach of material contractual obligations (cardinal obligations) and only for the foreseeable, contract-typical damage.
In all cases, Riddle's liability is limited in amount to a maximum of the purchase price paid by the Customer for the respective event.
Liability for lost profits, indirect damages or consequential damages is excluded to the extent permitted by law.
Liability for damages resulting from injury to life, body or health remains unaffected.

Both parties undertake to keep confidential information of the other party secret and to use it only for the purpose of contract fulfillment.
20. Final provisions
The law of the Federal Republic of Germany applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The place of jurisdiction for all disputes arising from or in connection with this contract is Saarbrücken, Germany, provided that the Customer is a merchant within the meaning of the German Commercial Code (HGB).
Should individual provisions of these Terms be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.
Amendments and additions require text form (email is sufficient).
